MOIL Limited Buyback (MOIL Buyback) Detail

Incorporated in 1962, MOIL is a miniratna state-owned manganese ore mining company. MOIL produces and sells different grades of Manganese ore including, (i) High-Grade ores for production of Ferro manganese, (ii) Medium grade ore for production of Silico manganese, (iii) Blast furnace grade ore required for production of hot metal and, (iv) Dioxide for dry battery cells and chemical industries.
MOIL operates 11 mines, 7 located in the Nagpur and Bhandara districts of Maharashtra and 4 in the Balaghat district of Madhya Pradesh. MOIL completes around 50% of the total dioxide ore requirement of India.

The issue size of MOIL Buyback is of 33,842,668 equity shares at ₹205 per share aggregating upto ₹693.77 Crores.

The Buyback aims to :
i) Reduce outstanding number of equity shares and consequently increase earnings per share and book value per share.
ii) Effectively utilize available cash; and
iii) Improve key return ratios like return on equity capital.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The MOIL Buyback offers an opportunity for the shareholders to exit their positions at a premium price. In case you stay invested you would have an increased percentage of shareholding in the company and improved earnings per share. Thus, one should understand the company fundamentals along with one's need, goals, and risk appetite to decide if one wants to stay invested or participate in the buyback offer.

Emami is likely to consider the Buyback of the shares during the meeting of the Board of Directors on 03/02/2022. However, the previous buyback in 2020 was through the Open Offer. Let’s wait and see the outcome of the meeting of the Board of Directors. Thank you.

BUYBACK of HGS shares is likely to be during the last week of this month/ first or second week of March. It’s only a presumption.No confirmation of the period of the buyback so far.
In the open market mode, buyback of shares will be done through the stock exchange at the then prevailing rates. No fixed price. The period of buyback will be for a longer period. Not of any advantageous position to the investors except the probability of price increases to certain extent before or during the period of buyback.
In the case of Tender route, the price will be a fixed one and the period of the buyback will be normally for two weeks only. Process will be through the Registrar of the buyback. As you will be knowing the price of the buyback, you can take a decision whether you can participate by purchasing the shares afresh duly ensuring that the shares will be credited to the Dmat account by the record date.

For Moil Ltd. I have 5000 shares of the Moil Ltd. And my entitlement for buyback offer is only 679 shares…

Now the share price is approximately equal to my purchase price… So what should I do? should I tender all 5000 share in buyback offer or should I tender only 679 shares and sell the remaining shares in the market before 10 February 2022?

@pigeon @ganesh: record date is 19th feb for moil dividend and buyback settlement is 21st feb. Dividend amount will be declared in board meeting on 11th feb. And share price sometimes increases in tender period since some people may buy to tender in buyback who might have sold after record date.

Price of MOIL on record date i.e. 31st Dec 21 was 169.10 which is lower than my acquisition cost per unit. Do I have any tax liability? Or it is Govt. liability to pay me refund 😊😁😁(on lighter note.. they are such a sucker...life goes paying tax..)

No tax liability on share tendered in buyback. even acquisition price of MOIL for me was Rs. 139 only, but hopefully I would not have to pay any LTCG on accepted shares under buyback.

one of my old Demat account with Reliance securities have same problem. I wrote to customer care for the buyback with the quantity to be tendered. they have tendered the quantity after one day.

@pigeon: In zerodha, they mark shares for debit on last date or after last date of tender i think. Then you will not see shares in portfolio. Now you can see but anyways you can't (should not) sell so it doesn't matter when shares are debited from account. In actual, you can sell shares still in open market from your zerodha account, then your buyback order will fail later when it will go to exchange. I had checked with them on call during nucleus buyback.

There will not be any mail from Zerodha. Mail will come from registrar only. You can simply place buyback order for your shares in zerodha yourself in console/corporate actions.

which Demat account doesn't matter....if you had shares on record date, then you should receive mail. you can check in spam folder also once in your email.
You can just verify which email id is given with your demat acocunt.

Based on comments on another site..
If ER is declared then i can sell my extra shares and submit only ER %age and get 100% acceptance?

Like below:
Shares: 1000
ER: 45%
Sold: 55% (550) in open market post ER declaration
Submitted to Buyback: 45% (450) and got all accepted.

Is the above valid or I still have to submit 1000 shares to get 450 shares accepted? Participating first time so don't have any practical knowledge.

it results in better EPS mainly after buyback is over, since shares bought back in buyback will be extinguished so company's net shares count reduces.

You should tender all the shares to get the maximum benefit as AR is likely to be more than ER.

Yes, government is also participating in the buy back. Buy back and Dividend are two methods by which government gets some significant funds from its cash rich PSUs.

@coldburger: yes, booking profits is good habit when market is at high levels, thats why i informed you to keep stoploss in federal bank so that your profit is protected in case if the trend reverses. ya all shares like TCS etc went down due to unfavorable market in last 1 week. Andi feel MOIL also may not cross 180 till buyback period ends until some positive surprise by market or quarterly result.

On the long term holdings there is another view point that even, if capital gains are exempted up to the prices quoting as on 31 Jan 2018, it's better to tender as many as get accepted and seize the opportunity to take full capital gains benefit as on date. With indexes moving by 80% after 31st Jan 2018, and share prices soaring capital gains beyond 31st Jan is also big. Buy Back exempts gains before and after 31st Jan 2018 as well. Buying back the accepted same number of shares post buy back at current levels obviously will not attract benefits of 31st Jan 2018. However, shares bought back at current levels though are not exempted, their prices many times are unlikely to move in the same proportion as they moved past 15 years in linear graph. Take the very example of Ajanta Pharma. Their shares went up by 3 X before the last buy back. On Tendering in last buy back purchased back those shares. Those shares have moved up so far only 20% up to now. So each one has to see his own holding price, period and decide.

@Radkrish: Relevance of ER is that guaranteed those no. of shares will be accepted by company as per your entitlement. Means if you even tender 16 shares only, then all 16 will be accepted. But if you tender all 84 shares, then other than 16, some more shares will be accepted in proportionate method as per as per availability of shares due to non participation of everyone, and that final accepted shares ratio will be called as acceptance ratio.

It is suggested to tender all the shares held on the Record Date to get the maximum benefit as AR is likely to be more than the ER due to non tendering of all the/some of the shares by the investors due to their own reasons. Thank you.
