MOIL Limited Buyback (MOIL Buyback) Detail

Incorporated in 1962, MOIL is a miniratna state-owned manganese ore mining company. MOIL produces and sells different grades of Manganese ore including, (i) High-Grade ores for production of Ferro manganese, (ii) Medium grade ore for production of Silico manganese, (iii) Blast furnace grade ore required for production of hot metal and, (iv) Dioxide for dry battery cells and chemical industries.
MOIL operates 11 mines, 7 located in the Nagpur and Bhandara districts of Maharashtra and 4 in the Balaghat district of Madhya Pradesh. MOIL completes around 50% of the total dioxide ore requirement of India.

The issue size of MOIL Buyback is of 33,842,668 equity shares at ₹205 per share aggregating upto ₹693.77 Crores.

The Buyback aims to :
i) Reduce outstanding number of equity shares and consequently increase earnings per share and book value per share.
ii) Effectively utilize available cash; and
iii) Improve key return ratios like return on equity capital.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The MOIL Buyback offers an opportunity for the shareholders to exit their positions at a premium price. In case you stay invested you would have an increased percentage of shareholding in the company and improved earnings per share. Thus, one should understand the company fundamentals along with one's need, goals, and risk appetite to decide if one wants to stay invested or participate in the buyback offer.

If I will apply for 1 lakh amount then 30000 would be accepted for buyback with arround 6000 profit ( at 205 Buyback price from today ) and rest 70000 would remain hold at CMP price ? Am I right Kamma Sir .

Sir,
Suppose you have purchased 600 shares @ Rs. 169/- today. As the accepted ratio is always better than the Entitlement ratio, it is suggested to tender all the 600 shares for buyback. Whatever the no. of shares they accept, depending upon the holdings as on the record date, they will retain and the balance of shares will be credited back to your dmat account. Then it is upto you to decide whether to sell or to hold for some time. The resultant amount of the buyback of the shares will be credited to your bank account on the specified date. Coming to the point of profit, it mainly depends upon the Acceptance Ratio of the shares tendered for the buyback, Selling price of the unaccepted shares after the buyback etc., You will find the particulars regarding the period of buyback, last date for settlement of the buyback amount etc., in the offer letter sent to you after around 20 days from the record Date.

Buyback will also be from the stake of the government as government will also participate in the buyback by tendering the shares to the company to best utilise the opportunity due to the advantage of the difference between the Buyback price and Market price. Thank you.

Board of directors of James Warren Tea Limited approved the buyback of 8,42,717 shares through Tender Offer @ Rs.295/-. CMP Rs.259/-. Promoters group is also interested in participating in the Buyback. Record Date is yet to be announced. Small size buyback. Not that much attractive.

Only in exceptional cases even holding of the single share is accepted for the buyback. Normally, “buying all 100 shares from single account is more acceptable“ is believed to be more advantageous. When the amount is Rs.1 lakh only, invest in one account. Buyback is different from IPO. Yes, sometimes like having one share in each account and that is accepted for Buyback then only it is advantageous to have shares in different accounts. Thank you.

@ksrk sir- How much qty you suggest for small investors? I can divide purchase between two demat. Moil has a target of 225-240 range from some brokerage. I only worry it does not go down like SAIL.

@Jigar: for retail category, as u know it has to be under 2 lakhs and that amount (no of shares eligible for retail) is calculated based on share price on record date so KSRK is just mentioning as per assumption of 200 rs price (200*1000 = 2 lakh). Buyback price is 205 rs so on record date suppose price is 201 rs then you will not come under retail category if you buy 1000 shares but if price is touching 201 on record date itself then we can sell in market also.
So taking all these assumptions/thinking, KSRK suggested for 1000 shares to buy max to be under retail category.

Moil shares can be purchased at the current market price of around Rs.176/-. Depending upon your financial position, you can purchase upto 1000 shares for each account. No conditions to purchase a particular minimum quantity. I am hopeful that not less than 50% of the shares are expected to be accepted for the buyback. Unless we believe that the deal will be a profitable one, we will not purchase n will not recommend to purchase. @REK: i think he might have meant 176.5 buy price only at IZ , by mistake it might have posted as 156.5 since moil price was around/above 170 when buyback was announced so no possibility of buying at 156.5 price.
