The MPS Buyback is being offered at Rs ₹900 per share per equity share.

Category Entitlement Ratio of Buyback
Reserved Category for Small Shareholders 15 Equity Shares out of every 82 Equity Shares held on the Record Date.
General Category for all other Eligible Shareholders 2 Equity Shares out of every 43 Equity Shares held on the Record Date.

The record date for the MPS Buyback is December 17, 2021.

The issue size of MPS Buyback is of 944,444 equity shares at ₹900 per share aggregating upto ₹85.00 Crores.

The Buyback aims to:
i) Distribute surplus funds to shareholders and thereby enhance their overall return.
ii) Improve financial ratios like earnings per share, return on capital employed, and return on equity, by reducing the equity base of the Company.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The MPS Buyback offers an opportunity for the shareholders to exit their positions at a premium price. In case you stay invested you would have an increased percentage of shareholding in the company and improved earnings per share. Thus, one should understand the company fundamentals along with one's need, goals, and risk appetite to decide if one wants to stay invested or participate in the buyback offer.

Hi, Any one help me with the following questions.
1. What is the minimum number of shares to be kept on record date to participate in the buy back?
2. On which date the shares will be unblocked in case of not accepted shares and On which date the amount will be credited to bank account in case of accepted shares.

Thanks in advance..
16.1. Unknwon     Link|January 17, 2022 9:06:21 AM
1. no minimum requirement, sometimes even one share got accepted by the company. otherwise small shareholder is < INR 2 lakhs and above that is general.
2. all the tendered shares will be debited from your account once the offer closes and within few days, on the settlement date, the amount will be deposited to the bank and the unaccepted shares will be credited back to dp. Refer the offer letter/email from Registrar for the timelines.

Hi Experts,
I have couple of queries, please help me understand more regarding how buyback works:

1) If I am entitled to tender 50 share and if I tender 100 share then does company accept more than 50 shares?

2) Is it possible that company accept less than entitled shares. If I am entitled for 50 share and I tender 50 share then does all 50 get accepted?

Thanks in advance.
12.3. lokes     Link|January 10, 2022 6:23:00 PM
@NKJ: yes it is guaranteed that 50 shares will be accepted if you tender only 50. Entitlement means that only. And if you tender more shares than your entitled, then always more shares will be accepted in proportionate (not depend on situation, normally its always more accepted) , that's why AR (acceptance ratio) is always more than ER (Entitlement ratio).
12.4. Puneet     Link|January 11, 2022 2:45:03 PM
I have a confusion. Is the final Acceptance ratio proportionate to the number of shares held as on Record date or is it proportionate to the number of shares offered in buy back. Thanks

Very good ER of 17.85% for reserved category.
I guess now AR could be above 35%. That is also because current price and buyback price is a lot of gap. If that gap decreases AR might be more than 35%

From bse site: market cap is 1289 Cr,
Out of which non promoter (free float) is 412 Cr. 83 Cr .
Issue size reserved for retail is 12 Cr, which is just 3 % of non promoter cap.
If someone has data, please shade light on % of shareholders having < 2 lakh holding.
4.1. lokes     Link|November 19, 2021 6:26:38 PM
@common man: this data of shreholders having less than 2 lakh rs shares will never come in shareholding pattern so not easy to find out how many retail investors are having less than 2 lakh rs shares and how many are having more value shares.

Though I am not an expert in this regard, I believe that the company is a good one and you will not be disappointed with the price of the unaccepted shares after the buyback. Reasonable amount of profit can be expected. Thank you.
