The issue size of Matrimony.com Buyback is of 652,173 equity shares at ₹1150 per share aggregating upto ₹75.00 Crores.

The Buyback is being undertaken for the following reasons:

1. The Buyback will help the Company to distribute surplus cash to its shareholders holding Equity Shares thereby enhancing the overall return to shareholders.

2. The Buyback is generally expected to improve return on equity through distribution of cash and improve earnings per share by reduction in the equity base of the Company, thereby leading to long term increase in shareholders' value.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The Matrimony.com Buyback offers an opportunity for the shareholders to exit their positions at a premium price. In case you stay invested you would have an increased percentage of shareholding in the company and improved earnings per share. Hi my previous average price for 44 share was 848. after took 9 in buy back my remaining 35 shares returned with the IPO price of 887.00. why it is like this.
i have not bought one share in that price in my 44 shares. I bought one share for 869.60. ten share for 848.45. four share for 840.00. ten share for 838.40. ten share for 835.90. my bought back 9 shares are not available in break down.

((869.60)+(10*848.45)+(4*840)+(10*838.40)+(10*835.90))/35=841.63

((869.60)+(10*848.45)+(4*840)+(10*838.40)+(10*835.90)+(35*887))/70=864.32

Sir,
You have tendered 150 shares only though you are holding 300 shares on the Record Date. Acceptance will be based on the number of shares tendered for the buyback subject to the maximum number of the shares held on the Record Date. That’s why I used advise to tender all the shares held on the Record Date to get the maximum benefit.

Mohsin Ji, we used to invest lakhs of rupees in these buybacks and take risk of market fluctuation on unaccepted shares, and remain invested for 90 days to 120 days still not getting enough return when there is so much good premium between CMP and buyback price.

In the end, we exit at par or in the loss. Price in the market falls immediately after the ex-date and one day before the date of credit of unaccepted shares. And all benefits are taken by a small retailer who is participating in a single share. Out of 97,000 shares in this buyback, approximately 30K to 35K are such people who participated by single share and due to them, we are losing badly.

Now buyback does not remain that attractive what it used to be in last years.

Mayur Uniquoters:- AR=6.5%,
Gulf Oil:- AR=25.50% but a fall in the market price resulted in overall loss,
KPR Mill:- AR=32.50% earned a small amount of profit,
FDC:- AR=12% the gap between the record date and the settlement date was very long,
Sarda Energy and Minerals:- AR=37%,
Motilal Oswal:- AR=32%,
Ashai Songwon:- AR=7%,
Zydus Health Care:- AR=12%,
Sinclair Hotels and Indiamart resulted in a very less acceptance ratio.

Basis of Acceptance of Equity Shares validly tendered in the Reserved Category for Small Shareholders:

Subject to the provisions contained in this LOF, the Company will accept the Equity Shares tendered in the Buyback by the Small Shareholders in the Reserved Category in the following order of priority:
a) Acceptance of 100% Equity Shares from Small Shareholders in the Reserved Category, who have validly tendered their Equity Shares, to the extent of their Buyback Entitlement or the number of Equity Shares tendered by them, whichever is less.
b) Post the Acceptance as described in Clause 19. (VII) (a) above, in case there are any Equity Shares left to be bought back from Small Shareholders in the Reserved Category, the Small Shareholders who were entitled to tender zero Equity Shares (on account of ignoring the fractional entitlement), and have tendered Additional Equity Shares as part of the Buyback, shall be given preference and one Equity Share each from the Additional Equity Shares applied by these Small Shareholders shall be bought back in the Reserved Category.
c) Post the Acceptance as described in 19. (VII) (a) and (b) above, in case there are any validly tendered unaccepted Equity Shares in the Reserved Category and Equity Shares left to be bought back in the Reserved Category, such Additional Equity Shares tendered by the Small Shareholders over and above their Buyback Entitlement, shall be accepted in proportion of the Additional Equity Shares tendered by them and the Acceptances per Small Shareholders shall be made in accordance with the SEBI Buyback Regulations, i.e. valid Acceptances per Small Shareholder shall be equal to the Additional Equity Shares validly tendered by the Small Shareholder divided by the total Additional Equity Shares validly tendered and multiplied by the total pending number of Equity Shares to be accepted in Reserved Category. For the purpose of this calculation, the Additional Equity Shares taken into account for such Small Shareholders, from whom one Equity Share has been accepted in accordance with clause 19. (VII) (b) above, shall be reduced by one.
d) Adjustment for fractional results in case of proportionate Acceptance, as described in Clause 19. (VII) (c) above:
i. For any Small Shareholder, if the number of Additional Equity Shares to be Accepted, calculated on a proportionate basis is not in the multiple of 1 and the fractional Acceptance is greater than or equal to 0.50, then the fraction would be
rounded off to the next higher integer.
ii. For any Small Shareholder, if the number of Additional Equity Shares to be Accepted, calculated on a proportionate basis is not in the multiple of 1 and the fractional Acceptance is less than 0.50, then the fraction shall be ignored.
In case of any practical issues, resulting out of rounding-off of Shares or otherwise, the Buyback Committee or any person(s) authorized by the Buyback Committee will have the authority to decide such final allocation with respect to
such rounding-off or any excess of Equity Shares or any shortage of Equity Shares after allocation of Equity Shares as set out in the process described in Clause 19 of this LOF.

Matrimony buyback for retail shareholders:
the calculation as in buy back letter

In compliance with Regulation 6 of the SEBI Buyback Regulations, the reservation for the Small Shareholders, will be higher of:
i. Fifteen percent of the number of Equity Shares which the Company proposes to buy back i.e. 15% of 6,52,173 Equity; Shares which works out to 97,826 Equity Shares; or
ii. The number of Equity Shares to which the Small Shareholders are entitled as per their shareholding as on Record Date i.e. (7,00,769/1,14,22,610) x 6,52,173 which works out to be 40,011 Equity Shares.

Since promotors are not participating , 97826 shares bought back from retail shareholders.

To understand this, we may refer to TCS buyback process (I could not find same for Matrimony).

19.15 Subject to the provisions contained in the Letter of Offer, the Company will accept the Equity Shares tendered in the Buyback by the Small Shareholders in the Reserved Category in the following order of priority:

19.15.1 Acceptance of 100% Equity Shares from Small Shareholders in the Reserved Category, who have validly tendered their Equity Shares to the extent of their Buyback Entitlement or the number of Equity Shares tendered by them,
whichever is less.

19.15.2 After the Acceptance as described in Paragraph 19.15.1 above, in case there are any Equity Shares left to be bought back from Small Shareholders in the Reserved Category, the Small Shareholders who were entitled to tender zero
Equity Shares (on account of fractional entitlement), and have tendered Additional Equity Shares as part of the Buyback, shall be given preference and one Equity Share each from such Additional Equity Shares shall be bought
back in the Reserved Category.

I think para 19.15.2 makes it clear that shareholders tendering 1 share will be considered only after other shareholders's entitlement has been considered. As the demand for buyback will be high, I doubt that tendering one share will work 100%. But still, I am inclined towards this experiment.
