Tips Industries Limited was founded in 1975 and is one of India's largest entertainment companies engaged in the production, promotion and distribution of music and films.

Initially, the company dealt in gramophone records, recorded audio cassettes, blank audio cassettes and replicated CDs. The company owns more than 3500 titles and copyrights of numerous Hindi films, of which at least 10 are among the 10 million sellers, more than 15 have sales of more than 5 million and another 20 have sales of around one million. Tips also owns the soundtrack copyrights to at least 50 Hindi films.

Tips Industries has its own manufacturing facility and distribution system. These factories have digital mastering facilities, operate on a just-in-time inventory management system and utilise in-house logistics facilities to supply more than 1,50,000 cassettes per day to the Indian market. The company also has a global presence with offices in the USA, Dubai and the UK.

Necessity of the Issue

Buyback is being undertaken, inter-alia, for the following reasons:

  1. The Buyback will help the Company to return surplus cash to its shareholders holding Equity Shares broadly in proportion to their shareholding, thereby, enhancing the overall return to shareholders;
  2. The Buyback, which is being implemented through the tender offer route as prescribed under the SEBI Buyback Regulations, would involve the allocation of the number of Equity Shares as per their entitlement or 15% of the number of Equity Shares to be bought back whichever is higher, reserved for the small shareholders. The Company believes that this reservation for small shareholders would benefit a large number of public shareholders, who would be classified as "small shareholders" as per Regulation 2(i)(n) of the SEBI Buyback Regulations;
  3. The Buyback may help in improving its earnings per share and return on equity, by reduction in the equity base, thereby leading to a long-term increase in shareholders' value; and
  4. The Buyback gives an option to the shareholders holding Equity Shares of the Company, who can choose to participate and get cash in lieu of Equity Shares to be accepted under the Buyback offer or they may choose not to participate and enjoy a resultant increase in their percentage shareholding, post the Buyback offer, without additional investment.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The Tips Industries Buyback 2024 offers an opportunity for the shareholders to exit their positions at a premium price. I did not seen Buyback Option is opened for TIPS , IS it private to only few Large shareholder or this is wrong announcement to boost the trade . Something not seen from April 22nd until today on buy back

Suppose I have 2 accounts (differnet PAN)

On 19 April i purchase some shares from account 1 for this buyback which was sellted on april 22 (record date)

But on april 22 i transferd all shares of this company to account 2 using cdsl easiest facility which gets transfed on same day april 22 evening

so on april 22 both account have this shares , then who is eligible for this buyback account 1 or 2 ? and how?

So it looks that it will be like the Dwarikesh Sugar Industries buyback which was bad.

In 2022-2023 buyback it was
2,600 −1,837.57(avg. price in Nov 2022) = ₹762.43 profit

Current buyback:
625−465=160 minus buying and selling brokerage. Around ₹90 profit. I think not many will be interested. So it will be mostly accepted, but you get miniscule profits. I think, its better to go with bigger amounts.
