The record date for the Nucleus Software Buyback is November 27, 2021.

The issue size of Nucleus Software Buyback is of 2,267,400 equity shares at ₹700 per share aggregating upto ₹158.72 Crores.

The Buyback aims to:
i) Distribute surplus funds to shareholders and thereby enhance their overall return.
ii) Improve financial ratios like earnings per share, return on capital employed, and return on equity, by reducing the equity base of the Company.

All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The Nucleus Software Buyback offers an opportunity for the shareholders to exit their positions at a premium price. In case you stay invested you would have an increased percentage of shareholding in the company and improved earnings per share. Thus, one should understand the company fundamentals along with one's need, goals, and risk appetite to decide if one wants to stay invested or participate in the buyback offer.

Money was credited in bank account (mentioned in demat) on 21st Jan itself to everyone mostly. You need to check with registrar kfintech if you didn't received.

100% AR is very difficult in general category.I think general category will be less than 80%.

Thanks. Missed noting that thread about promoters non participation. Else, would have opted for general category. Anyways, is this information available in before record date like now Tata's in TCS? Is it mentioned in postal ballot? How about Ajanta and MPS?

@OU Ai: yes in TCS promoters are participating. News comes after buyback announcement. yes it will be known before record date. Normally in IT companies it comes to know in news or via postal ballot results, am not sure about ajanta/MPS etc , don't track much. I am not participating in MPS , ajanta i am having but no idea about promoter etc.

From last 5 days, prices are beaten down too much in this share without any reason so for remaining shares, selling will be in loss only for mostly. Still this buyback deal will be good profitable if acceptance ratio comes around 70%

yes acceptance ratio is less than expected, no idea how....
But atleast share price giving very good upmove now, since in general category, 80% of tendered shares were bought back so some buying demand is there now.
Better to book profit for remaining shares too whenever they are credited back in broker account.

Share price fallen a lot from todays high, so good whoever sold it at upper price today, i sold half of my holdings at 590 and holding remaining.
I feel it can again come above 600 in short term once market supports since a lot of shares are extinguish now from buyback and there won't be much selling pressure from general category atleast.

Only 48% acceptance ratio in retail. Anyway after all the deduction (STT, Exchange charges, Zerodha buyback fee, Depository charges) Rs 698/ share. Anyway good profit.

Dear @lokes @kamma siva reddy. I had applied for nucleus buyback on zerodha within the time limit. The broker called me yesterday to inform that the buyback order couldnot be placed due to a technical fault at exchange. I am staring at a huge loss for no mistake of mine. kindly guide. I have already filed a complaint on sebi scores platform against the zerodha/NSE(whoever is responsible)

@parwesh: nothing can be done now if they really made some mistake or due to technical issue watever , if your order is not placed. You already made complaint in SEBI, that only you can do....you can send mail or call to zerodha also once and complaint but i dont think they will do anything now.
I have also tendered via zerodha, no idea what will happen to my order, no updates from them, hopefully that should work.

Hello everyone,

I see heavy dips only in share price. I assumed that since buyback price is 700 so the shares price will atleast go near 700 by the buyback closure date i.e 25 Jan if not higher but rather share has taken a beating in last two days. 153 crores worth of shares will be mopped but will it not push the price up?

Any views please..

if that happens then buybacks are always too much beneficial, everyone can buy before record date and tender in buyback and sell remaining in open at high price if that happens.
So your assumption is wrong. After tendering period, share prices can go anywhere in short term. (but not near to buyback prices in most cases in short term).

yes 2PM was last time today to apply in this buyback from zerodha site, now its not possible. Anyways don't feel much bad, i think it will cross 600 soon so u can sell in open market and it may come 650-700 also in some months. Eclerx crossed already its buyback price of 2850 last week after 2 months of buyback.

@TheLearner : it will have probably 100% Acceptance in general category since only around 9 lakhs bids are placed in general category as per below link.

Hi Everyone,
I was entitled for 23 shares under buyback out of 150 i am holding. I tendered 130 and today all 130 are gone from my portfolio. My nucleus portfolio today only reflects 20 shares only.
Does this mean all 130 have been bought by Nucleus which seems too far fetched & improbable to me or that 130-23 shares will be credited back to my zerodha account soon since my entitlement was only 23 shares.

If anyone can advise as to what's really going on here.

This is my very first buyback so not very sure how the process works.

Sir,
Acceptance Ratio will always be better than the Entitlement Ratio as some investors may not be interested to tender all/ some of the shares held on the Record Date. At the first instance, Entitled shares will be accepted out of the shares of allocation for the buyback. Then, the remaining shares will be accepted proportionately on the basis of the shares tendered for the buyback and will be added to the already accepted shares on the basis of the entitlement. The balance of shares out of the shares tendered for the buyback will be credited back to your Dmat account. Hope you got the answer for your query. Thank you.
