Orbit Exports Buyback vs Triveni Engineering Buyback 2022

The Buyback is being undertaken, inter-alia, for the following reasons:

• The Buyback will help the company to return surplus cash to its shareholders broadly in proportion to their shareholding thereby enhancing overall return to the shareholders.
• The Buyback would give an option to the equity shareholders to either participate in the Buyback and receive cash in lieu of Equity Shares accepted under the Buyback or not participate in the Buyback and enjoy a resultant increase in their percentage shareholding in the company post the buyback without additional investment.

The Buyback is being undertaken for the following reasons:

1. The Buyback will help the Company distribute surplus cash to its shareholders holding Equity Shares and promote capital efficiency, thereby increasing shareholders' value and improving return on equity.

2. The Company's dividend pay-out trend and cash reserves, the Company considers appropriate to return surplus funds to the shareholders effectively and efficiently.
