Kaveri Seed Buyback 2022 vs Orbit Exports Buyback

The buyback is being undertaken for the following reason:

1. The Buy-back is being undertaken by the Company to return surplus funds to the equity shareholders of the Company.

2. The Company believes that the Buy-back will improve return on equity, by reducing in equity base, thereby leading to a long-term increase in the value of shareholders.

The Buyback is being undertaken, inter-alia, for the following reasons:

• The Buyback will help the company to return surplus cash to its shareholders broadly in proportion to their shareholding thereby enhancing overall return to the shareholders.
• The Buyback would give an option to the equity shareholders to either participate in the Buyback and receive cash in lieu of Equity Shares accepted under the Buyback or not participate in the Buyback and enjoy a resultant increase in their percentage shareholding in the company post the buyback without additional investment.
