- Redemption Oversight: They ensure that debentures are redeemed in accordance with the terms of the issue.

- Nominee Director: They can appoint a nominee director to the issuer's board if there are defaults in interest payments, security creation, or redemption.
Appointment and Eligibility
- Mandatory Requirement: The appointment of a debenture trustee is mandatory for all secured debentures and for unsecured debentures with a maturity of more than 18 months.
- Eligibility: To be a debenture trustee, the entity must be registered with SEBI and be a scheduled bank, a public financial institution, an insurance company, or a body corporate.
- Independence: The trustee must be independent of the issuer and not an associate of the issuer.
- Agreement: A written agreement must be entered into with the issuer before the subscription list opens.
