MS was an is an established IT Firm later splitted in to diff businesses. AGS Info is a debt ridden firm needing public money to clear debts of 1100cr against the turnover of around 15-1600 cr. The promoter can use this OFS money or may not use for the well being of the company , in both the cases the company will have continuing debt of 600-800cr which it needs to payback to promoter & others with interest.

@CoolAsh- You are right, purpose of this IPO is To carry out an OFS by selling shareholders and To realize the listing benefits of equity shares on the stock exchange.

Mr Dala is right. AGS to retire debt amounting to 650 Cr through escrow mechanism. Please refer ''Objects of the Offer''.

This issue seems to be sudo primary.
