All the eligible Shareholders of the Company holding either Physical Shares or Demat Shares as on the Record Date can participate in the buyback offer through their Stock Broker.

The eligible shareholder holding the shares in Demat form needs to inform their broker the details of the Equity shares they wish to tender in the Buyback Offer. The shareholder needs to transfer the tendered shares to a Special account of the clearing corporation. The broker, in turn, would place an order on the stock exchange for the buyback.

The eligible shareholder holding the shares in physical form needs to approach their broker with original share certificates and supporting documents. Upon completion of document verification, the broker places an order on the stock exchange and submits the original share certificate and TRS to the registrar.

The tender form and TRS are optional in the case of Demat shares but mandatory in the case of physical shares.

The Wipro Buyback offers an opportunity for the shareholders to exit their positions at a premium price. In case you stay invested you would have an increased percentage of shareholding in the company and improved earnings per share. Thus, one should understand the company fundamentals along with one's need, goals, and risk appetite to decide if one wants to stay invested or participate in the buyback offer.

Having wipro shares at an average price of Rs 600. What will be the tax implementation if I tender my shares at 445

@NA
I have Wipro purchased around 600 and in loss. Capital gains accrued (profits) in tender buyback is exempt from tax under section 115Q. This section states that gains are computed from difference in buyback price and original issue price of share at different periods. These gains are taxed at flat rate and paid by the company. Therefore, individual investor participating in buyback regardless of buying price is exempt from capital gains. For the individual though it may appear that gains are on his buying price, actual tax paid by the company may be more as those shares were issued at price lesser than the market price at some point of time.

As such there is never a capital loss under buyback as companies compute the gain on historical prices. Therefore, if we submit our share at loss to us in buyback, there is no provision to claim loss, adjust to other profits or carry forward. Best course of action for us is to sell shares before record date, book loss and then buy again to tender in buy back. Having suffered prolonged loss in Wipro I prefer to book loss, adjust with other profits and move on to other promising IT counters. Trus this is information is useful...

guys, I am skipping this buyback

I think the price will crash once the record date is over as other IT stocks have corrected significantly and Wipro hasn't, due to the buyback support. Also, many senior level executives have resigned recently which is a huge red flag.

Infosys is available at a lower PE which is quite rare( check history)

And the current buyback can't be compared with previous ones because sentiment is quite bad/pessimistic for IT right now( earlier it was euphoric)

Do comment on this with your counter arguments if any

Thanks and do like the helpful posts

In the buyback of the year 2020-21, the buyback price was Rs. 400/- and the market price on the closing day of the buyback I.e.,11/01/2021 has touched the price of Rs.440/- and on the subsequent day it touched the price of Rs. 460/-. It is needless to mention here that the AR was 100%. So, please don’t tender the shares for the buyback before the last day without observing the trend. This time also, I am hopefully looking forward for the AR of not less than 80% even in the present conditions of the market. All the best to all of you. Thank you.

Thanks KSRK ji,
So
1. RI categorization
is dependent on how many shares you HOLD in the DEMAT and NOT how many you surrender for buyback.
2. One needs to keep a certain safety margin in the numbers in demat that the total demaT value does not exceed 200000 on record date closing basis. (One can always sell the few extra ones on record date)

One more thing Is it advisable to buy at the earliest or do it nearer to record date.
🙏

Retail category depends on the number of shares held on the Record Date, but AR depends upon the number of shares held on the Record Date and submitted for the buyback.
You should sell extra shares before the Record Date but not on the Record Date.
Normally, the price will be more as Record Date approaches.
